Overview
These Terms & Conditions ("Terms") govern the use of the 360brandcraft.com website and any services provided by 360 Brand Craft LLC ("360 Brand Craft," "we," "us," or "our"). By engaging our services, submitting a form on this site, or using our website, you agree to be bound by these Terms. If you are entering into this agreement on behalf of a company, you confirm you have the authority to bind that company.
Our Services
360 Brand Craft provides Amazon marketplace management, TikTok Shop and social media growth services, UGC and creative content production, and e-commerce store development. The specific scope, deliverables, timeline, and pricing for any engagement will be defined in a separate proposal, order form, or service agreement ("Statement of Work") agreed upon between 360 Brand Craft and the client. These Terms apply in addition to, and alongside, any such Statement of Work.
Client Responsibilities
To deliver our services effectively, clients agree to: provide timely access to relevant accounts (Amazon Seller Central, TikTok Shop, ad accounts, Shopify/store admin, etc.); supply accurate product, brand, and business information; respond to requests for approvals, assets, or feedback in a reasonable timeframe; and maintain compliance with the policies of any third-party platform (Amazon, TikTok, Meta, Shopify, etc.) used in connection with our services. Delays caused by the client may affect timelines and results.
Fees & Payment
Fees for services are outlined in the applicable Statement of Work or invoice. Unless otherwise agreed in writing, invoices are due upon receipt or per the payment schedule specified in your agreement. Late payments may result in a pause of active services until the account is brought current. All fees are exclusive of applicable taxes unless stated otherwise.
Term & Cancellation
Ongoing/monthly service engagements continue until cancelled by either party. To cancel, the client must provide 30 days' written notice (by email to the address below). Services and billing continue through the remainder of the then-current 30-day notice period. Fees already paid for the current billing month are non-refundable, as they reflect work performed, campaigns actively running, and resources allocated for that period.
No Guarantee of Results
360 Brand Craft uses industry best practices, data-driven strategy, and platform expertise to grow client accounts, but we do not guarantee specific sales figures, rankings, ROAS, ACoS, or other performance outcomes. Marketplace and social platform algorithms, competitor behavior, seasonality, and factors outside our control can all affect results. Any figures referenced in our marketing materials, case studies, or conversations (e.g., past client results) are illustrative of prior outcomes and are not a promise of future performance.
Third-Party Platforms
Our services involve managing accounts on third-party platforms (including but not limited to Amazon, TikTok, TikTok Shop, Meta, Google, and Shopify). These platforms set and enforce their own policies, and may suspend, restrict, or terminate accounts independently of anything 360 Brand Craft does. We are not liable for actions taken by third-party platforms against a client's account, including suspensions related to pre-existing account history, product compliance, or policy violations outside our control.
Intellectual Property
Creative assets (UGC videos, product photography, ad creatives, listing content, website/store designs, etc.) produced specifically for a client as part of a paid engagement become the property of the client upon full payment, unless otherwise specified in the Statement of Work. 360 Brand Craft retains the right to showcase completed work in our portfolio, case studies, and marketing materials unless the client requests otherwise in writing.
Confidentiality
Both parties agree to keep confidential any non-public business, financial, or strategic information shared during the engagement, and to use such information only for the purpose of delivering or receiving the agreed services.
Limitation of Liability
To the maximum extent permitted by law, 360 Brand Craft's total liability for any claim arising from our services is limited to the fees paid by the client for the services in question during the three (3) months preceding the claim. 360 Brand Craft is not liable for indirect, incidental, or consequential damages, including lost profits or lost sales.
Governing Law
These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services will be resolved in the state or federal courts located in Florida.
Changes to These Terms
We may update these Terms from time to time. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
